Sponmi Terms of Service

Effective: 2026-10-12

Article 1. Purpose

These Terms set out the rights, duties and responsibilities between AZET LLC (the "Operator") and members, and among members, when creators, advertisers and licensees trade ads and video licences on Sponmi (the "Platform"), which the Operator runs.

Article 2. Definitions

  1. "Member" means anyone who has agreed to these Terms and signed up: creators, advertisers, licensees and agencies. One member may act in more than one role.
  2. "Creator" means a member who proves ownership of their YouTube, Instagram, TikTok or other channel by connecting it, and sells ad packages or video licences.
  3. "Advertiser" means a member (a brand) that orders primary ads or buys usage licences.
  4. "Licensee" means a member (a channel operator, localisation company or similar) that buys derivative licences and posts localised or re-edited versions on its own channels.
  5. "Agency" means a member that manages a roster of creators (an MCN or creator agency).
  6. "Primary ads", "Usage" and "Derivatives" are the three trading zones set out in the articles of those names.
  7. "Licence" means a creator's permission to use a video for usage or derivatives.
  8. "Standard form" means the licence text the Operator sets for each zone. The parties only choose parameters (term, territory, language, channel and similar), and each licence is fixed to the form version in force when it is approved.
  9. "Rights ledger" means the Operator's record that keeps, for each licence, the text as approved, its SHA-256 hash and the consent record.
  10. "Prepaid balance" means money an advertiser or licensee deposits in advance to pay licence fees and royalties.
  11. "Operator affiliate" means a participant with a special ownership, management or contractual relationship with the Operator (for example AZET Entertainment and localisation channels the Operator is involved in).

Article 3. Posting, changes and language

  1. The Operator posts these Terms on the Platform.
  2. Changes are announced with the effective date and the reason at least 7 days in advance; changes that are unfavourable to members are announced at least 30 days in advance and also sent by email.
  3. A member who does not accept a change may leave before it takes effect. Licences already approved remain governed by the standard form and the Terms in force when they were approved.
  4. These Terms are provided in Korean, English and Japanese. If the versions differ, the Korean version prevails.

Article 4. Sign-up and accounts

  1. You can sign up with a Google account or email. Creators prove ownership of the channels they sell by connecting them via OAuth.
  2. Creators and agencies acting as businesses must register their identity details: business name, representative's name, address, phone number, email and business registration number (for non-Korean businesses, the number issued in their country). The Operator checks these and gives them to the counterparty before an order is placed (Korean Act on Consumer Protection in Electronic Commerce art. 20(2); Enforcement Decree art. 25(1)).
  3. Minors may trade only with the consent of their legal representative; a deal made without consent may be cancelled by the minor or the representative (Korean Civil Act art. 5). Children under 14 need their legal representative's consent to sign up (Korean Personal Information Protection Act art. 22-2).
  4. Accounts are personal. If you find that your account has been misused, tell the Operator immediately.

Article 5. Status as an intermediary

  1. The Operator is an intermediary and is not a party to deals between members. The seller of ad packages and licences is the creator, and the contract is between the creator and the advertiser or licensee. The creator who sells is responsible for what is sold, its price and its performance (Korean Act on Consumer Protection in Electronic Commerce art. 20(1)).
  2. The Operator provides the standard forms, holds and settles payments, verifies channel ownership and posts, keeps the rights ledger, mediates disputes and handles notices. The Operator does not produce content or negotiate terms.
  3. Where the Operator takes orders or receives payment, it performs the seller's legal duties (disclosure of terms, order confirmation, prevention of input errors, reliability of electronic payment and similar) if the seller does not (same Act art. 20-3).
  4. If a complaint or dispute arises from a deal, the Operator promptly takes the necessary steps, including finding out its cause and the loss (same Act art. 20(3)).

Article 6. Operator affiliates

  1. Operator affiliates follow the same Terms, fees and ranking rules as other members and get no preferential treatment.
  2. When the counterparty is an Operator affiliate, the Platform labels it "Operator affiliate".
  3. AZET Entertainment is a business separate from the Operator. A creator's MCN membership is governed by a separate agreement between the creator and AZET Entertainment; these Terms do not set its content.

Article 7. Primary ads

  1. Creators list sponsored content packages (platform, format, length, number of revisions, how long the post stays up and similar) at prices they set. Advertisers may order a package or send the creator an offer.
  2. The creator produces and posts the content as agreed, and the advertiser may request revisions within the agreed number.
  3. The creator discloses the economic relationship with the advertiser in a way viewers can recognise and uses each platform's paid-partnership label. Advertisers and creators must not run false, exaggerated or deceptive ads (Korean Act on Fair Labeling and Advertising art. 3).
  4. Primary ads are currently paid and settled in Korean won.
  5. Unless otherwise agreed, copyright in the content stays with the creator. The advertiser may use it within the order (the posting channel and the posting period); any other ad use is bought as a usage licence.

Article 8. Usage

  1. Advertisers may buy a licence to use a creator's existing videos (sponsored or not) in their own paid ads and on media they own.
  2. The parameters are media, territory, term (30·90·180·365 days) and whether whitelisting (ads run under the creator's account, partnership ads) is included. The price is the creator's base price multiplied by the term, territory and whitelisting factors, and is shown on the request screen.
  3. The advertiser may use the video as is, or with cuts, subtitles and aspect-ratio changes only. Edits that change its meaning, anything that makes the creator appear to say what they did not say, and use outside the scope (TV, out-of-home and similar) are not allowed.
  4. The creator cannot revoke the licence during the paid term. However, if the advertiser goes beyond the scope or seriously breaches these Terms, the creator may terminate it after asking for the breach to be cured.
  5. Where whitelisting is included, the creator provides ad access (partnership-ad codes and similar) for the term and may withdraw it when the term ends.
  6. When the term ends, the advertiser stops running the ads and removes the posts from its own media. Licence fees are shown and settled in US dollars.

Article 9. Derivatives

  1. Licensees may buy a licence to translate, subtitle or dub a video into another language, or re-edit it to fit a format, and post it on their own channel named in the request. Derivatives may not be used in paid ads.
  2. The parameters are language, platform, channel, whether monetisation is allowed and whether AI voice or face synthesis is allowed.
  3. The royalty is the amount per 1,000 views the creator sets. The Operator regularly checks the public view count of each post URL the licensee has registered and deducts the royalty from the licensee's prepaid balance. Amounts are shown and settled in US dollars.
  4. The licensee must register on the Platform the URL of every derivative it posts. A post that is not registered is treated as use outside the licence.
  5. The creator may revoke the licence on the Platform at any time. The licensee must remove every post made under it within 24 hours of the revocation notice. Royalties earned before revocation are settled.
  6. If posts are not removed in time, the Operator may warn the licensee and then suspend its account, and the licensee compensates the creator for any loss caused by the posts staying up.

Article 10. Terms common to all licences

  1. The exact scope of each licence is set by the standard form as approved; anything the form does not cover is governed by these Terms.
  2. Licences are non-exclusive, and copyright stays with the creator. Advertisers and licensees may not transfer or sublicense a licence without the creator's consent (Korean Copyright Act art. 46(3)).
  3. A derivative licence includes the right to make and use derivative works (translations, dubs and re-edits) within the licensed scope (Korean Copyright Act art. 22). The creator will not object to translation and editing within that scope; changes to the essential content of the original are treated as not licensed (Korean Copyright Act art. 13).
  4. The creator warrants that they have the right to grant the licence, including for music, performers and third-party material in the video. Where a third party holds rights in part of the video, the creator may license that part only within the permission they hold.
  5. Advertisers and licensees secure the rights to any music, captions, voices or other material they add in their own edits.
  6. A licence is formed when the creator approves it, or when the request matches auto-approval conditions the creator has switched on in advance.

Article 11. AI voice and face synthesis, and AI labels

  1. AI processing that clones the creator's voice or synthesises their face is allowed only if the creator has expressly allowed it in the licence terms (off by default) and the licensee has selected it in the request. Using a creator's name, likeness, voice or similar for business without permission is prohibited (Korean Unfair Competition Prevention Act art. 2(1)(ta)).
  2. Even where AI is allowed, it may only be used to carry over what the original says; it may not be used to invent words or actions the creator did not say or do.
  3. Derivatives that use AI dubbing or synthesis carry the AI label each platform requires, and output that is hard to tell from reality is labelled so viewers clearly know it was made with AI (Korean Framework Act on the Development of Artificial Intelligence and Establishment of Trust art. 31).

Article 12. Credit and Content ID

  1. Licensees credit the original creator by name with a link to the original in the description of every derivative. The credit text the Platform provides may be used.
  2. While a licence is active, the creator does not file copyright notices or Content ID claims against posts made under it, and releases any automatic claim that arises. The Operator shows creators the licensee's channel list so they can check.
  3. Advertisers and licensees do not register the original or any derivative in Content ID or similar rights-management systems.

Article 13. Fees

  1. Signing up and listing are free. Fees are deducted from the creator's share when a deal's payment is confirmed.
  2. Primary ads: 10% of the deal amount, whether the creator sells directly or accepts an advertiser's offer. For creators in an agency that has a partner agreement with the Operator, it is 5%. The current partner agency is AZET Entertainment; other agencies may apply for a partner agreement on the same terms (help@azet.io).
  3. Usage: 15% of the licence fee. Derivatives: 15% of royalties. The partner-agency discount applies to primary ads only.
  4. Payment-method fees, currency-conversion costs and transfer costs are shown separately before payment or payout; costs that were not shown are not charged.
  5. Fee changes are announced in the same way as changes to these Terms and do not apply to deals already paid.

Article 14. Holding and settling payments

  1. Money paid by advertisers and licensees is held in the payment and holding arrangement the Operator designates until the deal is confirmed, and is not paid straight to the creator.
  2. A primary ad is confirmed when the creator has posted, the Operator has verified the post and the advertiser approves it. If the advertiser withholds approval without good reason, the Operator may confirm it after checking the post against the order.
  3. A usage fee is confirmed when the creator approves the licence; derivative royalties are confirmed as they are deducted at each view-count check.
  4. The confirmed amount, less fees, is paid to the creator on the schedule and by the method shown on the Platform.
  5. The Operator holds a payment only in three cases: a dispute has been filed, a rights-infringement report has been received, or suspected fraud is being checked (manipulated views, or registering someone else's channel or posts). The Operator gives the reason at once and, within 30 days of the filing, decides and pays out or returns the money. While a court or dispute-resolution body is handling the matter, the hold lasts until its outcome.
  6. Licence fees, royalties and the prepaid balance are shown and deducted in US dollars (USD). Payment methods are shown at checkout, and each payment provider's terms also apply.
  7. Each member files and pays the tax on their own deals and income under applicable law. Where the law requires the Operator to withhold or report, it does so.

Article 15. Prepaid balance

  1. Advertisers and licensees top up a prepaid balance to pay licence fees and royalties. A usage fee is reserved from the balance when requested and returned to it if the request is declined, cancelled or expires.
  2. A derivative licence with a royalty can be requested only with a balance of at least the royalty for 1,000 views, and royalties are deducted only up to the balance.
  3. The balance can only be used to pay licence fees and royalties on this Platform. It cannot be transferred to anyone else and earns no interest.
  4. You may ask for a refund of unused balance at any time. The Operator refunds it within 14 days of the request to the original payment method (or, if that is not possible, to an account you name), excluding royalties already earned and amounts in dispute. Actual costs of international transfers and similar may be deducted after you are told about them.
  5. If the balance is too low to cover royalties, the Operator asks for a top-up. If it is not topped up within 7 days, the Operator may suspend the licence, and the licensee must remove the posts within 24 hours of the suspension notice.

Article 16. Cancellation, withdrawal and refunds

  1. An advertiser may cancel a primary-ad order and get a full refund until the creator starts production. After that, the parties agree on the outcome; if they cannot, the Operator proposes a settlement based on how far the work has progressed.
  2. A licence request may be cancelled until it is approved. Once approved, permission to use is treated as having started. If the creator does not answer within 14 days of receiving the request, it expires and any fee held returns to the balance.
  3. If the seller performs differently from the contract, the buyer may ask to cancel and be refunded within 3 months of delivery or within 30 days of learning of it.
  4. Where a member is a consumer (trading outside their trade or business), the Korean Act on Consumer Protection in Electronic Commerce art. 17 and other consumer-protection laws prevail over this article. Where withdrawal is limited under art. 17(2) of that Act, for example because a service or digital content has started to be supplied, this is shown on the request screen in advance.

Article 17. Rights ledger and electronic consent

  1. For each licence the Operator fixes the standard-form text as approved and stores it in cloud storage (Cloudflare R2), and records in the rights ledger its SHA-256 hash and the consent record (times of viewing, approval and revocation, browser information and a hash of the IP address).
  2. The parties agree to enter into licences electronically, and the rights-ledger records serve to confirm a licence's content and the fact of consent.
  3. Ledger records are never edited afterwards; revocations, expiries and corrections are added as new records.
  4. Each party can view and download the text and records of its own licences on the Platform at any time.

Article 18. Prohibited acts

Members must not:

  1. register someone else's channel or video as their own, or sell a licence for a video they have no rights to;
  2. use content outside the licensed scope (media, territory, term, language, channel), or keep posts up after revocation, expiry or suspension;
  3. manipulate views, subscribers or engagement, or post to unregistered URLs to avoid royalties;
  4. clone a creator's voice or synthesise their face without permission, invent words or actions the creator did not say or do, or omit AI labels;
  5. hide that content is an ad, or run false or exaggerated ads;
  6. remove or alter the original creator's credit, or register licensed posts in Content ID or similar systems;
  7. within 12 months of first being connected on the Platform, pay or receive money off the Platform with that counterparty in order to avoid fees;
  8. use other people's information, register false information, or overload the service with automated tools;
  9. breach the law, these Terms, or the policies of each platform (YouTube, Instagram, TikTok and others).

Article 20. Removal of infringing information and temporary measures

  1. Anyone whose privacy, reputation or other rights are infringed by information published on the Platform may, with supporting evidence, ask at the same address as copyright notices for it to be removed or for a rebuttal to be posted (Korean Act on Promotion of Information and Communications Network Utilization and Information Protection art. 44-2(1)).
  2. On receiving a request, the Operator promptly removes the information or takes a temporary measure or other necessary step, informs the requester and the poster, and posts a public notice of the action taken (same article (2)).
  3. Where it is hard to judge whether rights are infringed or a dispute between the parties is expected, the Operator may temporarily block access to the information for up to 30 days (same article (4)), and within that period decides, after hearing the parties, whether to restore or remove it.

Article 21. Restrictions and leaving

  1. Members may leave at any time. Deals in progress, active licences and unsettled amounts are handled on their terms after a member leaves. When a creator leaves, their derivative licences are treated as revoked.
  2. If a member commits a prohibited act, the Operator may, after giving reasons, restrict use step by step: a warning, delisting, suspension of trading, then account termination. In urgent cases where harm may spread, the Operator suspends first and notifies immediately.
  3. Members may object to a restriction, and the Operator reports the outcome of its review within 7 days.

Article 22. Disputes

  1. Disputes between members are first discussed between the parties. On request, the Operator proposes a settlement based on the rights ledger, post records and messages. Its proposal does not bind the parties.
  2. The Operator tells the parties the handling schedule within 3 business days of receiving a dispute.
  3. Members who are consumers may apply for mediation to the Korea Consumer Agency or another dispute-mediation body under applicable law.

Article 23. Limitation of liability

  1. The Operator compensates members for loss caused by its own intent or negligence, and does not limit liability for intent or gross negligence.
  2. As the Operator is not a party to deals, the member who sells or uses is responsible for the performance and quality of deals between members and for the lawfulness of content. This does not affect the Operator's liability under the article on its status as an intermediary or under applicable law.
  3. Disclosing that content is an ad, and any material connection behind it, is the responsibility of the advertiser and of the member who posts the content. The Operator does not write or direct ad copy.
  4. Contact details inside fields shown to the other party, such as the name you registered, are hidden automatically. No person reads the content for this.
  5. The Operator is not liable for loss caused by events outside its control, such as natural disasters or changes to or suspension of the APIs or policies of external platforms (YouTube, Instagram, TikTok and others), unless the Operator was at fault.
  6. View counts used for royalties are the values the external platform publishes; if the platform later corrects them, the next settlement is adjusted.

Article 24. Governing law and jurisdiction

  1. These Terms and deals made on the Platform are governed by the laws of the Republic of Korea.
  2. However, members who are consumers keep the protection given to them by the mandatory rules of the country where they habitually reside (cf. Korean Act on Private International Law art. 47(1)).
  3. Lawsuits relating to these Terms may be brought before the Seoul Central District Court in Korea; this jurisdiction is not exclusive. Consumers habitually resident in Korea may sue in the Korean courts, and the Operator sues such consumers only in the Korean courts (Korean Act on Private International Law art. 42).
