Sponmi Terms of Service

Effective: 2026-10-14

Changes to these Terms: direct-pay orders (effective 2026-10-29)

Announced 2026-10-22 · effective 2026-10-29. Until then, the Terms below are the Terms in force.

Why: so that deals can go ahead while payments cannot be taken on the Platform, advertisers may choose a "direct-pay order" and pay the creator directly. In a direct-pay order, Sponmi is an intermediary and not a party to the deal.

Also, as AZET LLC, which sells and intermediates US-dollar deals, is an Ohio company, US-dollar deals become governed by Ohio law. Korean-won deals (seller: AZET) stay under Korean law, and the sentences protecting consumers (the mandatory rules of the country where they live, and the right of consumers living in Korea to sue in the Korean courts) do not change. There is no arbitration clause.

This adds an option that applies to an order only if both the advertiser and the creator choose it. The terms of Pay via Sponmi orders (the Operator's responsibility as seller, production-fee payment, refunds) do not change, and orders formed before the effective date are not affected. As the change is not unfavourable to members, we announce it 7 days in advance and also by email.

Article 15. Direct-pay orders(none — new article)

1. A "direct-pay order" is a primary-ad order in which, after the creator accepts it, the advertiser pays the creator directly by the method the creator has entered on the order screen (PayPal, Wise, bank account or similar). It is formed only if the advertiser chooses direct pay when ordering and a creator who has registered a direct-pay method accepts it. Otherwise the order is a "Pay via Sponmi" order. A member whose billing country is the Republic of Korea (or another country the Operator specifies on screen) cannot choose a direct-pay order when ordering as an individual and not for business purposes.

2. In a direct-pay order the Operator acts as an intermediary and is not a party to the sale. The creator is the seller and the contracting party for that ad service. The creator is responsible for the content, price and performance of the service, for withdrawal, cancellation and refunds, for issuing receipts and tax invoices, and for the other duties of a seller, and by accepting a direct-pay order the creator agrees with the Operator to bear them. The Operator states this on the Platform's home page and on the order-confirmation screen and order sheet of each direct-pay order, in text no smaller than the creator's name.

3. The Operator does not receive, hold or pass on payment for direct-pay orders, does not guarantee payment or performance, and charges no fee. The following do not apply to direct-pay orders: the service fee and the Operator's share under "Prices and production fees"; the payment of production fees under "Payments and production fees", including the Operator's undertaking to pay production fees whether or not the advertiser has paid, cancelled or been refunded; the article "Credit"; and the parts of "Cancellation, withdrawal and refunds" under which the Operator makes refunds or assigns another creator. The Operator owes the creator no production fee for a direct-pay order.

4. Before registering a direct-pay method and before accepting each order, the creator enters on the order screen: (1) if a business, its name, representative, address, phone number, email, business registration number (or the equivalent in its country) and its mail-order registration number or the reason it is exempt; if not a business, that fact; (2) its terms for withdrawal, cancellation and refunds (if none are entered, the statutory terms apply); (3) when payment is due (within ○ days after the post is verified, or a deposit percentage); and (4) the payment method. The Operator checks the information in (1) and shows it to the advertiser before the order is placed. For creators who are not businesses, the Operator verifies a phone number but does not show it to the advertiser, and labels them separately from business creators.

5. "I've sent it outside Sponmi" and "I've received it" on the order screen are records made by the advertiser and the creator. They do not mean the Operator has checked the transfer or receipt.

6. For direct-pay orders the Operator: (1) checks and provides the information in paragraph 4; (2) provides the steps to confirm, correct or cancel the order and shows the creator's withdrawal terms; (3) verifies the post and keeps a record; (4) handles complaints and disputes, giving an update within 3 business days and the outcome or a proposed resolution within 10 business days of receipt; (5) provides the creator's identity information and transaction records when a dispute-resolution body or court asks, or with the creator's consent; and (6) restricts accounts for non-payment, failure to post, impersonating a payment method or other abuse.

7. As it is not a party to a direct-pay order, the Operator is not responsible for the creator's performance or refunds or for the advertiser's payment. However, if the Operator fails to meet its duties under paragraphs 2, 4 or 6, or causes loss intentionally or negligently, it compensates under "Limitation of liability", and this article does not reduce any liability the law places on an intermediary.

8. The Operator never receives direct payments or asks you to send them. If you are asked to pay to an account or address different from the one registered on the order screen, do not pay and tell the Operator.

9. A direct-pay order is not a deal made "to bypass the Operator" under item 7 of "Prohibited acts".

Article 2. Definitions(none)

17. A "Pay via Sponmi order" is an order in which the Operator sells the ad service as seller and receives the payment; a "direct-pay order" is an order as defined in the article "Direct-pay orders".

Article 5. Status of the Operator

1. The seller of ad services and licences traded on the Platform is the Operator. Advertisers and licensees contract with the Operator and do not contract directly with creators. The Operator is responsible for what is sold, its price and its performance.

1. The seller of ad services and licences traded on the Platform is the Operator. However, in a direct-pay order under the article "Direct-pay orders", the creator is the seller, the Operator acts as an intermediary, and the advertiser contracts directly with the creator. In all other deals, advertisers and licensees contract with the Operator and do not contract directly with creators, and the Operator is responsible for what is sold in those deals, its price and its performance.

Article 13. Prices and production fees

1. Signing up and listing are free. What an advertiser or licensee pays is the price shown on the order or request screen, plus any service fee and VAT shown separately at checkout, and nothing else. Card and PayPal payment costs are not charged separately (for primary-ad orders in US dollars they are included in the service fee).

1. Signing up and listing are free. In a Pay via Sponmi order, what an advertiser or licensee pays is the price shown on the order or request screen, plus any service fee and VAT shown separately at checkout, and nothing else. Card and PayPal payment costs are not charged separately (for primary-ad orders in US dollars they are included in the service fee). The Operator receives nothing for a direct-pay order.

Article 14. Payments and production fees

4. A creator's fee for a stage is confirmed when the Operator has checked that stage's deliverable against the order. The Operator pays every confirmed stage fee whether or not the advertiser has paid, cancelled the order or been refunded, within 30 days of the day the post is verified or the day the order ends (including by cancellation). This is the Operator's own debt. Cases set out in advance in the cooperation agreement, such as an order cancelled because the deadline was missed for reasons attributable to the creator, are handled as that agreement provides.

This paragraph does not apply to direct-pay orders.

Article 18. Prohibited acts

7. within 12 months of first being connected on the Platform, deal directly, as advertiser or licensee and creator, in the same kind of transaction in order to bypass the Operator (parties who were already dealing with each other before being connected on the Platform are excluded);

7. within 12 months of first being connected on the Platform, deal directly, as advertiser or licensee and creator, in the same kind of transaction in order to bypass the Operator (parties who were already dealing with each other before being connected on the Platform, and direct-pay orders on the Platform, are excluded);

Article 22. Disputes

2. The Operator tells the member the handling schedule within 3 business days of receiving a complaint or dispute.

2. The Operator tells the member the handling schedule within 3 business days, and the outcome or a proposed resolution within 10 business days, of receiving a complaint or dispute.

Article 23. Limitation of liability

1. As the seller of ad services and licences, the Operator is liable under the contract. Intent or negligence of creators and others to whom the Operator entrusts performance counts as the Operator's own.

1. In a Pay via Sponmi order, as the seller of ad services and licences, the Operator is liable under the contract. Intent or negligence of creators and others to whom the Operator entrusts performance counts as the Operator's own. Liability for direct-pay orders is governed by the article "Direct-pay orders".

Article 24. Governing law and jurisdiction

1. These Terms and deals made on the Platform are governed by the laws of the Republic of Korea.

3. Lawsuits relating to these Terms may be brought before the Seoul Central District Court in Korea; this jurisdiction is not exclusive. Consumers habitually resident in Korea may sue in the Korean courts, and the Operator sues such consumers only in the Korean courts (Korean Act on Private International Law art. 42).

1. These Terms and deals made on the Platform are governed by the laws of the Republic of Korea for deals paid in Korean won (seller: AZET), and by the laws of the State of Ohio, USA, for all other deals (seller or intermediary: AZET LLC).

3. Lawsuits relating to these Terms may be brought before the courts of the State of Ohio, USA, or the Seoul Central District Court in Korea; this jurisdiction is not exclusive. Consumers habitually resident in Korea may sue in the Korean courts, and the Operator sues such consumers only in the Korean courts (Korean Act on Private International Law art. 42).

Article 25. Operator(none)

2. In direct-pay orders the Operator is an intermediary, and the seller is the creator shown on the order screen.

Changes to these Terms (effective 2026-11-15)

Announced 2026-10-16 · effective 2026-11-15. Until then, the Terms below are the Terms in force.

Why: to stop harassment and objectionable content in messages and profiles between members, and to put into the Terms the report handling (review within 24 hours) that our community guidelines already describe.

This change widens what is prohibited and how use can be restricted, so we treat it as unfavourable to members, announce it 30 days in advance and also send it by email. If you do not accept it, you can leave before it takes effect; orders in progress, amounts payable and unused paid credit are handled under paragraph 1 of Restrictions and leaving.

Added on 2026-10-17 (favourable to members): Prices and production fees gets the link benefit - while your Sponmi page link stays on your YouTube channel, the Operator's share of primary ad orders and licences stays 0% after the 0% period - and how the benefit can be ended. It takes effect on the same date.

Added on 2026-10-19 (not unfavourable to existing members): Prices and production fees sets the fees on primary-ad orders in US dollars - creators 15% (partner agency 7.5%, creators who allowed us to use their videos 10%), and a 5.5% service fee for advertisers (plus US$3.50 on orders under US$200). Members who signed up before these fees started keep 0% on both sides, with no end date. They apply to members who sign up on or after that date from sign-up, and to existing members 7 days later, from 2026-10-26 (Addendum (5)).

Article 18. Prohibited acts(none)abuse, insult, threaten, harass or stalk other members or the Operator's staff, or send or post hate speech, discriminatory, sexual or violent content, or unwanted sexual content in messages, profiles, packages, campaigns or elsewhere on the Platform (prohibited whatever the degree);
Article 21. Restrictions and leaving(none)

3. The Operator has zero tolerance for the objectionable content and harassment described in Prohibited acts. When it receives a report about a message, profile, package, campaign or other content made by a member, it reviews the report within 24 hours. If the content is a prohibited act, the Operator removes or hides it without delay, tells the member who posted it why, and restricts use under paragraph 2. In serious cases, such as threats, sexual harassment or repeating the same conduct after a warning, the Operator may block messaging or terminate the account without a prior warning.

4. Members can block the other party from the order messages; a blocked member can no longer message them. Blocking, or a restriction or termination under this article, does not affect orders in progress, active licences, amounts payable or unused paid credit, which are handled on their terms as when a member leaves under paragraph 1.

Article 21. Restrictions and leaving3. Members may object to a restriction, and the Operator reports the outcome of its review within 7 days.5. Members may object to a restriction, and the Operator reports the outcome of its review within 7 days.
Article 13. Prices and production fees(none)

Link benefit: if a creator keeps the address of their Sponmi page (sponmi.com/@handle) in the public links of their YouTube channel, then even after the 0% creator-fee period ends, the production fee for a primary ad order made while the link is confirmed is the full ad price excluding VAT, and the creator licence fee for a usage or derivative licence approved, or whose royalties are settled, during that time is the full licence fee (the Operator's share is 0%). The Operator checks the public channel page once a day. If the link is not seen on two checks in a row, or two days have passed since it was last seen, the benefit stops and we tell the creator by email; it applies again from the next check after the link is put back. Whether it applies is decided by the check status when the order is made or, for licences, when the licence is approved or royalties are settled, and it is not applied retroactively.

The Operator may end the link benefit. It will announce the end at least 30 days in advance in the same way as changes to these Terms and also send it by email; orders made until the end date keep the benefit.

Article 13. Prices and production feesPrimary-ad orders in any currency: the Operator's share is 0% until 31 March 2027 (the 0% creator fee period), and what the advertiser pays is the price, VAT and actual payment costs only (no service fee).

4. For primary-ad orders paid in US dollars, the advertiser pays the price the creator set (the package price or the agreed amount, the "subtotal") plus a service fee. The service fee is 5.5% of the subtotal, plus US$3.50 when the subtotal is under US$200, and is shown separately at checkout. The production fee is 85% of the subtotal (92.5% for creators in a partner agency; 90% for creators who allowed us to use their videos and joined through that permission link, for as long as the permission stays on; where both apply, the higher production fee only), and the ad price (subtotal plus service fee) less the production fee is the Operator's share. When an order is cancelled or withdrawn and the ad price is refunded, the service fee is refunded in the same proportion.

5. Existing members keep 0%: members who signed up before the fees for US-dollar orders took effect keep, with no end date, a production fee equal to the full subtotal (Operator's share 0%) as creators and no service fee as advertisers. This applies only to the side of an order that is an existing member. Any change to this is announced at least 30 days before it takes effect, in the same way as changes to these Terms, and also sent by email.

6. The 0% creator fee period and the link benefit in this article do not apply to primary-ad orders paid in US dollars (they still apply to licences).

Current paragraph 3 (objections) becomes paragraph 5. The last item of Prohibited acts (breach of the law, these Terms or platform policies) moves down by one.

Article 1. Purpose

  1. These Terms set out the rights, duties and responsibilities between the Operator and members when the Operator sells ad services to advertisers and video licences to advertisers and licensees on Sponmi (the "Platform"), and creators work with the Operator to produce content or license their videos.
  2. The Platform is a website run from outside Korea by AZET LLC, a US company, and is offered to members worldwide in English, Japanese and Korean. Prices are billed in US dollars (USD) by default.

Article 2. Definitions

  1. "Operator" means, together, AZET LLC, which runs the Platform, and AZET (a Korean sole proprietorship separate from AZET LLC; representative Sihwan Oh, Korean business registration no. 897-76-00506), the seller for deals in Korean won. Which of them is the party to a contract with a member is set out in the article "Status of the Operator".
  2. "Member" means anyone who has agreed to these Terms and signed up: creators, advertisers, licensees and agencies. One member may act in more than one role.
  3. "Creator" means a member who proves ownership of their YouTube, Instagram, TikTok or other channel by connecting it, and works with the Operator to produce and post ad content or licenses their videos to the Operator.
  4. "Advertiser" means a member (a brand, company, sole trader or individual) that buys ad services or usage licences from the Operator.
  5. "Licensee" means a member (a channel operator, localisation company or similar) that buys derivative licences from the Operator and posts localised or re-edited versions on its own channels.
  6. "Agency" means a member that manages a roster of creators (an MCN or creator agency).
  7. "Ad service" means the Operator's work of having ad content produced and posted on the channel of the creator named in the order, and kept up for the agreed period.
  8. "Order sheet" (referred to in these Terms as "the order") means the contract terms the Operator fixes and shows on screen for each order: the content, the production stages and the price for each stage, the schedule, the posting period and the price.
  9. "Primary ads", "Usage" and "Derivatives" are the three trading zones set out in the articles of those names.
  10. "Licence" means the Operator's permission, within what the creator has licensed to the Operator, for an advertiser or licensee to use a video for usage or derivatives.
  11. "Standard form" means the licence text the Operator sets for each zone. The parties only choose parameters (term, territory, language, channel and similar), and each licence is fixed to the form version in force when it is approved.
  12. "Rights ledger" means the Operator's record that keeps, for each licence, the text as approved, its SHA-256 hash and the consent record.
  13. "Production fee" means the amount the Operator pays a creator who produces and posts ad content; it is fixed for each order as an amount in the order currency (US dollars for dollar orders, won for won orders). "Creator licence fee" means the amount the Operator pays a creator who licenses a video. Both are the Operator's own debts to the creator.
  14. "Amount payable" means production fees and creator licence fees that a creator is owed and has not yet been paid. It is not credit.
  15. "Credit" means money in Korean won that an advertiser pays AZET in advance to buy the ad services AZET sells (paid credit), and amounts AZET grants free of charge as a promotion (promotional credit).
  16. "Operator affiliate" means a participant with a special ownership, management or contractual relationship with the Operator.

Article 3. Posting, changes and language

  1. The Operator posts these Terms on the Platform.
  2. Changes are announced with the effective date and the reason at least 7 days in advance; changes that are unfavourable to members are announced at least 30 days in advance and also sent by email.
  3. A member who does not accept a change may leave before it takes effect. Licences already approved remain governed by the standard form and the Terms in force when they were approved.
  4. These Terms are provided in Korean, English and Japanese. If the versions differ, the Korean version prevails.

Article 4. Sign-up and accounts

  1. You can sign up with a Google account or email. Creators prove ownership of the channels they register by connecting them via OAuth.
  2. Anyone — individuals, sole traders and companies — may be an advertiser or licensee. At sign-up you give your billing country; company name, address and tax number (such as a VAT number) are optional. To trade in Korean won (including credit top-ups) you must register a Korean business registration number, and the Operator accepts won orders and top-ups only after checking it. Members buying for business purposes must give true company details. The Operator treats the company check as complete when the first payment goes through or when it has checked the company details, and may withdraw the check and ask for documents if a payment is reversed or charged back or there is reason to think the details are untrue. If registered information proves untrue, the Operator may cancel orders, refund unused paid credit and then restrict use. Members who are consumers under the law keep the consumer protection in the article “Cancellation, withdrawal and refunds”.
  3. Creators and agencies acting as businesses must register their identity details: business name, representative's name, address, phone number, email and business registration number (for non-Korean businesses, the number issued in their country). The Operator uses these to pay production fees and creator licence fees and to handle tax. Advertisers and licensees are shown the channel and display name of the creator who produces the content or licenses the video.
  4. Minors may trade only with the consent of their legal representative; a deal made without consent may be cancelled by the minor or the representative (Korean Civil Act art. 5). Children under 14 need their legal representative's consent to sign up (Korean Personal Information Protection Act art. 22-2).
  5. Accounts are personal. If you find that your account has been misused, tell the Operator immediately.

Article 5. Status of the Operator

  1. The seller of ad services and licences traded on the Platform is the Operator. Advertisers and licensees contract with the Operator and do not contract directly with creators. The Operator is responsible for what is sold, its price and its performance.
  2. The contracting party depends on the payment currency. For deals paid in Korean won (KRW), AZET is the seller and the issuer of credit; for deals paid in US dollars (USD), AZET LLC is the seller. That party also makes refunds, pays production fees and creator licence fees, and issues tax invoices and receipts. Billing is in US dollars by default, and members in Korea may also pay in dollars (the seller is then AZET LLC).
  3. The contracting party's name and business details are shown on the order and checkout screens and on receipts. Payments in won are received only into an account in the name of AZET, and payments in dollars only through payment methods in the name of AZET LLC. Top-ups of paid credit and payments in dollars are accepted only from the dates the Operator announces on the Platform for each, and not before. AZET and AZET LLC are each responsible for the contracts to which they are a party.
  4. AZET LLC receives dollar payments through payment providers (Stripe, Inc. for cards, PayPal, Inc., and Tazapay Pte. Ltd. for cards and local payment methods). The providers receive payments on behalf of AZET LLC, and a payment made to a provider counts as paid to AZET LLC.
  5. AZET LLC runs the Platform itself: accounts, verification of channel ownership and posts, the rights ledger, notices and restrictions.
  6. Creators are independent producers who have a cooperation agreement with the Operator. They are not the Operator's employees or agents, and the Operator does not direct when or where they work.
  7. When a member raises a complaint or dispute, the Operator finds out its cause and the loss and deals with it promptly.

Article 6. Operator affiliates

  1. Operator affiliates follow the same Terms, production-fee and creator-licence-fee rules and ranking rules as other members and get no preferential treatment.
  2. AZ Entertainment is a business separate from AZET and AZET LLC (the names are similar, but the representative and the business registration number are different). A creator's MCN membership is governed by a separate agreement between the creator and AZ Entertainment; these Terms do not set its content.

Article 7. Primary ads

  1. Creators register the sponsored content packages they can produce (platform, format, length, number of revisions, how long the post stays up and similar) and the production fee they ask for. On that basis the Operator sets the price of the ad service and shows it on the Platform.
  2. Advertisers may order a listed ad service from the Operator or send the Operator an offer. The ad-service contract between the Operator and the advertiser is formed when the creator has agreed to produce and the Operator notifies the advertiser that the order is accepted.
  3. The Operator has the creator named in the order produce and post the content, and sees that it is performed as the order says and on schedule. The advertiser may request revisions through the Operator within the agreed number. The order states the production stages and the price for each stage in the order currency.
  4. What the Operator promises is the production, posting and keeping-up of the content described in the order. Ad results such as views or sales are promised only where the order expressly says so.
  5. The creator discloses the economic relationship with the advertiser in a way viewers can recognise and uses each platform's paid-partnership label. The Operator checks for this disclosure when it verifies the post, and a post without it is not treated as performed. Advertisers must not ask for false, exaggerated or deceptive content, or for the disclosure to be left out (Korean Act on Fair Labeling and Advertising art. 3).
  6. Primary ads are sold in US dollars by default (seller: AZET LLC); members whose Korean business registration number has been checked may also buy in Korean won (seller: AZET). Prices in won are shown exclusive of VAT.
  7. Unless otherwise agreed, copyright in the content stays with the creator. The creator licenses the content to the Operator so that the advertiser can use it within the order (the posting channel and the posting period), and the Operator licenses it to the advertiser within that scope. Any other ad use is bought as a usage licence.

Article 8. Usage

  1. Advertisers may buy from the Operator a licence to use a creator's existing videos (sponsored or not) in their own paid ads and on media they own. For each request the Operator obtains the creator's approval, and with it a licence of that scope, and then licenses the advertiser.
  2. The parameters are media, territory, term (30·90·180·365 days) and whether whitelisting (ads run under the creator's account, partnership ads) is included. The Operator sets the licence fee by multiplying the base amount the creator has set by the term, territory and whitelisting factors, and shows it on the request screen.
  3. The advertiser may use the video as is, or with cuts, subtitles and aspect-ratio changes only. Edits that change its meaning, anything that makes the creator appear to say what they did not say, and use outside the scope (TV, out-of-home and similar) are not allowed.
  4. The Operator and the creator cannot revoke the licence during the paid term. However, if the advertiser goes beyond the scope or seriously breaches these Terms, the Operator may terminate the licence after asking for the breach to be cured, and the creator may ask the Operator to terminate it.
  5. Where whitelisting is included, the creator provides ad access (partnership-ad codes and similar) for the term and may withdraw it when the term ends.
  6. When the term ends, the advertiser stops running the ads and removes the posts from its own media. Licences are sold in US dollars and paid for request by request, and the seller is AZET LLC.

Article 9. Derivatives

  1. Licensees may buy from the Operator a licence to translate, subtitle or dub a video into another language, or re-edit it to fit a format, and post it on their own channel named in the request. For each request the Operator obtains the creator's approval before licensing. Derivatives may not be used in paid ads.
  2. The parameters are language, platform, channel, term, whether monetisation is allowed and whether AI voice or face synthesis is allowed.
  3. The licence fee is a fixed amount for the term and channel stated in the request, which the Operator sets from the base amount the creator has set and shows on the request screen. Licences charged by deducting a royalty according to view counts are not sold. Licences are sold in US dollars and paid for request by request, and the seller is AZET LLC.
  4. The licensee must register on the Platform the URL of every derivative it posts. A post that is not registered is treated as use outside the licence.
  5. The creator may withdraw their permission on the Platform at any time, and the licence the Operator gave the licensee ends with it. That it can be withdrawn at any time is a condition of a derivative licence and is shown on the request screen. The licensee must remove every post made under the licence within 24 hours of the withdrawal notice, and the Operator refunds the licence fee for the term remaining after withdrawal.
  6. If posts are not removed in time, the Operator may warn the licensee and then suspend its account, and the licensee compensates the Operator and the creator for any loss caused by the posts staying up.

Article 10. Terms common to all licences

  1. The exact scope of each licence is set by the standard form as approved; anything the form does not cover is governed by these Terms.
  2. Licences are non-exclusive, and copyright stays with the creator. The creator agrees that, within the scope of each request the creator has approved, the Operator may sublicense the video to the advertiser or licensee. Advertisers and licensees may not transfer or sublicense a licence without the consent of the Operator and the creator (Korean Copyright Act art. 46(3)).
  3. A derivative licence includes the right to make and use derivative works (translations, dubs and re-edits) within the licensed scope (Korean Copyright Act art. 22). The creator will not object to translation and editing within that scope; changes to the essential content of the original are treated as not licensed (Korean Copyright Act art. 13).
  4. The creator warrants to the Operator that they have the right to license the video, including for music, performers and third-party material in it. Where a third party holds rights in part of the video, the creator may license that part only within the permission they hold. If the warranty proves untrue and the Operator becomes liable to an advertiser or licensee as a result, the creator compensates the Operator for that loss.
  5. Advertisers and licensees secure the rights to any music, captions, voices or other material they add in their own edits.
  6. The Operator does not take a blanket licence over a creator's videos in advance. A licence is formed when, for a given request, the creator approves it or it matches auto-approval conditions the creator has switched on in advance, and the Operator, having obtained the creator's permission, licenses the advertiser or licensee.

Article 11. AI voice and face synthesis, and AI labels

  1. AI processing that clones the creator's voice or synthesises their face is allowed only if the creator has expressly allowed it in the licence terms (off by default) and the licensee has selected it in the request. Using a creator's name, likeness, voice or similar for business without permission is prohibited (Korean Unfair Competition Prevention Act art. 2(1)(ta)).
  2. Even where AI is allowed, it may only be used to carry over what the original says; it may not be used to invent words or actions the creator did not say or do.
  3. Derivatives that use AI dubbing or synthesis carry the AI label each platform requires, and output that is hard to tell from reality is labelled so viewers clearly know it was made with AI (Korean Framework Act on the Development of Artificial Intelligence and Establishment of Trust art. 31).

Article 12. Credit and Content ID

  1. Licensees credit the original creator by name with a link to the original in the description of every derivative. The credit text the Platform provides may be used.
  2. While a licence is active, the creator does not file copyright notices or Content ID claims against posts made under it, and releases any automatic claim that arises. The Operator shows creators the licensee's channel list so they can check.
  3. Advertisers and licensees do not register the original or any derivative in Content ID or similar rights-management systems.

  2. Prices in Korean won are shown exclusive of VAT, and the checkout screen shows the VAT and the total.
  3. The production fee for a primary ad is a fixed amount in the order currency, written in the order when the creator agrees to produce. After that, the Operator does not reduce it because of the advertiser's payment, cancellation or refund, or because of a discount the Operator gave the advertiser.
  7. 0% creator fee period: for primary-ad orders paid in won and made by 23:59:59 on 31 March 2027, Korea time (whether the advertiser orders a package the creator listed or the creator accepts an advertiser's offer; an order is made when it is created), the production fee is the full ad price (excluding VAT), and for usage and derivative licences approved by then, the creator licence fee is the full licence fee. The Operator keeps no share (0%). This also applies to creators in a partner agency.
  8. Orders made and licences approved in this period keep these terms even if they are paid or paid out after it ends.
  9. The basis for production fees and creator licence fees after the period will be announced at least 30 days before it takes effect, in the same way as changes to these Terms, and also sent by email.
  10. Card and PayPal payment costs are not charged separately. Currency-conversion and transfer costs, if any, are shown separately before payment or payout; costs that were not shown are not charged.
  11. Changes to pricing rules or to the basis for production fees and creator licence fees are announced in the same way as changes to these Terms and do not apply to orders already made or licences already approved.

Article 14. Payments and production fees

  1. Money paid by advertisers and licensees is the price of the ad services and licences the Operator sells, and the Operator receives it as its own. The Operator does not hold it or pass it on on a creator's behalf.
  2. The order states the production stages (script, storyboard, final video and similar) and the price for each stage in the order currency. The Operator checks each stage's deliverable against the order. Within 72 hours of being shown a deliverable, the advertiser may confirm it or ask for a revision, limited to what the order says; the Operator takes those comments into account and confirms the stage on the basis of the order. If no comment is made within 72 hours, the Operator confirms on the basis of the order; the advertiser is told this separately each time a deliverable is shown.
  3. A primary ad is treated as performed when the creator has posted and the Operator has verified the post against the order. The Operator tells the advertiser that it has been performed, and asks the advertiser to report anything that differs from the order within 7 days of that notice. The advertiser's rights under the article on cancellation, withdrawal and refunds remain after that period.
  5. The creator licence fee for usage and derivatives is fixed when the creator approves the request, and the Operator pays it within 30 days of its being fixed. If the creator withdraws permission for a derivative licence, no creator licence fee arises for the term remaining after withdrawal.
  6. What a creator is owed is shown on the Platform as the "amount payable". It is not credit. It cannot be sent to another member or used to pay for anything, and is paid only to an account in the creator's own name.
  7. The Operator holds a payment to a creator only in three cases: a dispute has been filed, a rights-infringement report has been received, or suspected fraud is being checked (manipulated views, or registering someone else's channel or posts). The Operator gives the reason at once and, within 30 days of the filing, decides and either pays or explains why it will not. While a court or dispute-resolution body is handling the matter, the hold lasts until its outcome.
  8. Orders can be paid with the methods shown at checkout (cards, PayPal and local payment methods), and each payment provider's terms also apply. Top-ups and refunds of won credit, and payments to creators, are made in legal tender only.
  9. The Operator issues a tax invoice or receipt for the ad services and licences it sells. Creators file and pay the tax on their own income under applicable law; where the law requires the Operator to withhold or report, it withholds accordingly before paying.

Article 15. Credit

  1. Credit is money in Korean won that an advertiser pays AZET in advance to buy the ad services AZET sells (paid credit), together with amounts AZET grants free of charge as a promotion (promotional credit). It is issued by AZET. No dollar credit is issued; deals paid in US dollars are paid for order by order or request by request.
  2. Credit can be used only to pay for ad services that AZET sells on the Platform in its own name. Where credit can be used is shown at checkout.
  3. Credit cannot be sent or transferred to another member, cannot be used to pay for anything sold by another member or a third party, cannot be withdrawn as cash (other than by a refund of paid credit) and earns no interest.
  4. You may ask for a full refund of unused paid credit at any time. The Operator refunds it within 14 days of the request to the original payment method (or, if that is not possible, to an account in your own name), excluding amounts reserved for orders in progress. Paid credit does not expire.
  5. Promotional credit is shown separately from paid credit and cannot be refunded or withdrawn as cash. Promotional credit is used first when you pay.
  6. The expiry date of promotional credit is stated when it is granted, together with the amount and where it can be used, and is at least 90 days after the grant. The Operator does not shorten the expiry date or reduce the amount it stated at the time of the grant.
  7. If an order paid with promotional credit is cancelled, the promotional credit used is returned. Where the order is cancelled for reasons on the Operator's side, it can be used for 30 days from the day it is returned even if its expiry date has passed.
  8. A tax invoice is issued when credit is used to buy an ad service. A top-up is confirmed with a record of the deposit.

Article 16. Cancellation, withdrawal and refunds

  1. An advertiser may cancel a primary-ad order and get a full refund until the creator starts production.
  2. If the advertiser cancels for its own reasons after production has started, the Operator refunds the price less the price of the stages the Operator has confirmed up to then, as set out in the stage table on the order screen.
  3. If the content is not posted by the posting date stated in the order (the deadline), then from 24 hours after the deadline the advertiser may cancel the order, without first having to set a further period for performance, and be refunded everything it paid. The advertiser may instead wait or agree a new posting date.
  4. Time during which the advertiser has not provided the materials the order requires, or has put off its review, does not count towards the deadline. The Operator shows the deadline as extended by that time on the order screen.
  5. If the content has still not been posted 30 days after the deadline, the order is cancelled automatically and the full price is refunded. The Operator gives separate notice of this 7 days before the automatic cancellation; if the advertiser chooses "Wait" before then, the order is not cancelled and a new deadline is set. The new deadline is no more than 90 days from that day.
  6. If the Operator performs differently from the order, the advertiser may ask for a revision or for the content to be produced again. The Operator assigns a different creator only if the advertiser agrees. If revision or re-production is impossible, or is not done within a reasonable period the advertiser sets, the advertiser may terminate the contract and be refunded.
  7. Cancellation and refund under this article do not take the place of compensation. Loss caused by reasons for which the Operator is responsible is compensated under the article on limitation of liability.
  8. A claim that performance differed from the order may be made within 1 year of the posting date (or, if nothing was posted, the scheduled posting date).
  9. A licence request may be cancelled until it is approved, and the licence fee paid is refunded in full. Once approved, permission to use is treated as having started. If the creator does not answer within 14 days of receiving the request, it expires and the licence fee is refunded. If a third party's rights in the video prevent it from being used as licensed, or permission for a derivative licence is withdrawn, the Operator refunds the licence fee for the period it could not be used.
  10. Refunds go to the payment method used; amounts paid with credit are returned as credit, paid and promotional credit separately. Paid credit returned in this way can be refunded under the article on credit.
  11. Where a member is a consumer under the law, the Korean Act on Consumer Protection in Electronic Commerce art. 17 and other consumer-protection laws prevail over this article. Where withdrawal is limited under art. 17(2) of that Act, for example because a service or digital content has started to be provided, we say so on the request screen in advance.
  12. If a member whose billing country is not Korea orders as an individual and not for business purposes, they may withdraw from the order within 14 days of payment without giving a reason, wherever they live, and get the full amount back to the payment method within 14 days of our receiving the withdrawal. For any stage the member expressly asked us to start within the withdrawal period, they pay for the work done up to the withdrawal, and they can no longer withdraw from that stage once it has been fully performed. To withdraw, tell us on the order screen or at help@sponmi.com; we confirm receipt by email. If the law where the member lives gives more protection, that law applies.
  13. Please contact the Operator before asking a payment provider for a chargeback. We will tell you how we will handle it within 3 business days of receiving it.

Article 17. Rights ledger and electronic consent

  1. For each licence the Operator fixes the standard-form text as approved and stores it in cloud storage (Cloudflare R2), and records in the rights ledger its SHA-256 hash and the consent record (times of viewing, approval and revocation, browser information and a hash of the IP address).
  2. The parties agree to enter into licences electronically, and the rights-ledger records serve to confirm a licence's content and the fact of consent.
  3. Ledger records are never edited afterwards; revocations, expiries and corrections are added as new records.
  4. Each party can view and download the text and records of its own licences on the Platform at any time.

Article 18. Prohibited acts

Members must not:

  1. register someone else's channel or video as their own, or license a video they have no rights to;
  2. use content outside the licensed scope (media, territory, term, language, channel), or keep posts up after revocation, expiry or suspension;
  3. manipulate views, subscribers or engagement, or post derivatives to unregistered URLs;
  4. clone a creator's voice or synthesise their face without permission, invent words or actions the creator did not say or do, or omit AI labels;
  5. hide that content is an ad, or run false or exaggerated ads;
  6. remove or alter the original creator's credit, or register licensed posts in Content ID or similar systems;
  7. within 12 months of first being connected on the Platform, deal directly, as advertiser or licensee and creator, in the same kind of transaction in order to bypass the Operator (parties who were already dealing with each other before being connected on the Platform are excluded);
  8. use other people's information, register false information, or overload the service with automated tools;
  9. breach the law, these Terms, or the policies of each platform (YouTube, Instagram, TikTok and others).

Article 20. Removal of infringing information and temporary measures

  1. Anyone whose privacy, reputation or other rights are infringed by information published on the Platform may, with supporting evidence, ask at the same address as copyright notices for it to be removed or for a rebuttal to be posted (Korean Act on Promotion of Information and Communications Network Utilization and Information Protection art. 44-2(1)).
  2. On receiving a request, the Operator promptly removes the information or takes a temporary measure or other necessary step, informs the requester and the poster, and posts a public notice of the action taken (same article (2)).
  3. Where it is hard to judge whether rights are infringed or a dispute between the parties is expected, the Operator may temporarily block access to the information for up to 30 days (same article (4)), and within that period decides, after hearing the parties, whether to restore or remove it.

Article 21. Restrictions and leaving

  1. Members may leave at any time. Orders in progress, active licences and amounts payable are handled on their terms after a member leaves, and unused paid credit is refunded. When a creator leaves, their permission for derivative licences is treated as withdrawn.
  2. If a member commits a prohibited act, the Operator may, after giving reasons, restrict use step by step: a warning, delisting, suspension of trading, then account termination. In urgent cases where harm may spread, the Operator suspends first and notifies immediately.
  3. Members may object to a restriction, and the Operator reports the outcome of its review within 7 days.

Article 22. Disputes

  1. An advertiser or licensee with a complaint about an ad service or licence tells the Operator. The Operator, as the contracting party, checks the order, the rights ledger and the post records and deals with it.
  2. The Operator tells the member the handling schedule within 3 business days of receiving a complaint or dispute.
  3. Disagreements between a creator and the Operator about production fees or creator licence fees are resolved by discussion under the cooperation agreement and these Terms.
  4. A member who is a consumer under the law may apply for mediation to the Korea Consumer Agency or another dispute-mediation body under applicable law.
  5. Consumers whose billing country is not Korea may also use the consumer dispute bodies or courts of the country where they live.

Article 23. Limitation of liability

  1. As the seller of ad services and licences, the Operator is liable under the contract. Intent or negligence of creators and others to whom the Operator entrusts performance counts as the Operator's own.
  2. The Operator compensates members for loss caused by its own intent or negligence. For loss caused by the Operator's slight negligence, compensation is limited to the price the member paid for that order or licence. This limit does not apply to loss caused by the intent or gross negligence of the Operator or of anyone to whom it entrusts performance.
  3. The advertiser is responsible for loss arising because product information, materials or instructions it provided were untrue or infringed a third party's rights. The advertiser bears an advertiser's responsibility under applicable law for ads for its own products.
  4. An advertiser or licensee is responsible for loss arising from its use outside the licensed scope or from material it added in its own edits.
  5. Contact details inside fields shown to the other party, such as the name you registered, are hidden automatically. No person reads the content for this.
  6. The Operator is not liable for loss caused by events outside its control, such as natural disasters or changes to or suspension of the APIs or policies of external platforms (YouTube, Instagram, TikTok and others), unless the Operator was at fault.

Article 24. Governing law and jurisdiction

  1. These Terms and deals made on the Platform are governed by the laws of the Republic of Korea.
  2. However, members who are consumers keep the protection given to them by the mandatory rules of the country where they habitually reside (cf. Korean Act on Private International Law art. 47(1)).
